Judge Blocks Hollywood’s $110 Billion Mega-Merger

Paramount’s massive $110 billion acquisition of Warner Bros. has encountered a significant legal obstacle. On Monday, a U.S. District Court judge in Northern California sided with a coalition of states, issuing a temporary restraining order that effectively freezes the merger between studio giants Warner Bros. Discovery and Paramount Skydance.

Earlier this month, attorneys general from twelve states—including California—initiated legal action to block the deal, arguing that it breaches Section 7 of the Clayton Antitrust Act of 1914. The plaintiffs contend that the consolidation would stifle market competition across film distribution, blockbuster releases, and the licensing of cable networks.

This 14-day suspension provides the court time to deliberate on a preliminary injunction, which would maintain the block on the merger while the litigation proceeds.

“My office, alongside colleagues nationwide, has successfully secured an emergency order to halt the unlawful fusion of Warner Bros. and Paramount. This represents a vital initial victory in our mission to ensure this megamerger is stopped permanently,” California Attorney General Rob Bonta stated. “History warns us of the dangers when concentrated power dominates industries essential to the American public—it leads to diminished choices, inferior services, and fewer opportunities. We are committed to fostering a fair, competitive marketplace that benefits both creators and audiences alike.”

Paramount initiated the pursuit of Warner Bros. in February, following the collapse of a potential acquisition by Netflix. The merger, if finalized, would unite two industry powerhouses, merging their massive libraries and platforms—including HBO Max and Paramount Plus—under one corporate umbrella.

The financial framework of the deal is complex: Paramount is responsible for a $2.8 billion termination fee previously owed to Netflix and has escalated its own regulatory breakup fee to $7 billion. Furthermore, the buyout includes an absorption of $29 billion in debt, which would likely necessitate severe structural cost-cutting if the merger proceeds.

In April, the proposal faced intense backlash from prominent directors, actors, and producers, all of whom urged regulators to intervene to protect the integrity of the film industry.

Interestingly, the merger had previously cleared the U.S. Department of Justice’s Antitrust Division in June. At the time, regulators claimed the deal would not harm competition, suggesting that the union of HBO Max and Paramount Plus could actually provide a more robust rival to dominant streaming platforms like Netflix and Amazon.
